Terms of Service

These terms are an agreement between you (the business signing up) and Leadly. By signing up or using Leadly you agree to them. If you don’t agree, please don’t use Leadly.

1. What Leadly does

Leadly sets up and runs online ads for your business in the area you choose, and sends the leads those ads generate to your phone and to the Leadly app. You approve your ad before it goes live.

2. Your account

You must be at least 18 and able to enter into contracts for your business. Keep your information accurate and your login secure. You are responsible for activity on your account.

3. Pricing and billing

• Leadly Pro fee: $499 per month, or 20% of your monthly ad budget if that is more. The loyalty discount (10% off after 12 counted months) applies to this fee only.
• Welcome discount: new businesses get $250 off their first month, one time only. It’s taken off the Leadly Pro fee, not the ad budget, and can’t be combined with the referral discount (the $499 referral discount replaces it).
• Ad budget: the monthly amount you choose (minimum $500). 100% of it is used to run your ads. We don’t take a cut of it.
• Both are billed monthly in advance through our payment processor, starting when your first ad is approved. You authorize us to charge your payment method each month until you cancel.
• You can raise, lower or pause your budget at any time. Increases can start right away. Decreases take effect at your next billing date.
• We’ll tell you ahead of time about any price change. It applies from your next billing period.

4. Cancellation and refunds

• There is no contract. Cancel anytime in the app or by contacting us. Your ads keep running until the end of the period you’ve paid for, and you won’t be charged again.
• The Leadly Pro fee is not refundable for a period that has started.
• If you cancel, any part of your ad budget that has not been spent on ads when your ads stop will be refunded to your payment method within 14 days.

5. Benefits

• Loyalty: a month counts only if you paid the full Leadly Pro fee with at least $500 of ad budget. Paused months don’t count. Pauses adding up to more than 30 days in any 12 months, or canceling, reset the count.
• After 6 counted months: priority support and a price lock: our fee rates (the $499 minimum and the 20% rate) won’t go up for you while you stay, even if they change for others.
• After 12 counted months: 10% off your Leadly Pro fee and early access to new features.
• Budget benefits count ad budget that was paid and not refunded, and apply while you stay at that level: $2,500+ a month, fresh ads every 2 weeks; $5,000+, a monthly strategy call; $25,000+, a custom landing page and multiple cities and trades. The custom landing page is provided after 3 months in a row at $25,000 or more and stays live while you remain at that level.
• The Leadly Pro fee is not charged while your ads are paused.
• Benefits have no cash value, can’t be transferred and are only for the business that earned them.

6. Referrals and partners

• Customer referrals: a new business that signs up with your link gets $499 off its first month (instead of the $250 welcome discount). You get a $499 credit after that business has paid for 2 full months. Credits apply to the Leadly Pro fee only, never ad budgets, have no cash value, and you can earn up to 12 per year.
• Partners: approved partners earn 20% of the Leadly Pro fee we actually collect from each business they refer, for that business’s first 12 paid months. Commissions are paid monthly once they reach $50, after a 60-day hold, and are reversed if the payment is refunded or disputed. US partners must give us tax information before payout.
• Who counts: only new businesses. A business is not new if its owner, phone number, email, address, tax ID or payment card was on any earlier Leadly account. The referral link must be used at signup and can’t be added later. You can’t refer yourself, another location or name of your own business, or anyone who shares your owner, phone number, email, address, tax ID or payment card.
• One reward per business: each new business earns one reward only (customer credit or partner commission, never both). If several links were used, the first one wins. Partners may not share or pass commissions back to the business they refer. Partners’ referred businesses also get $499 off their first month.
• Not allowed: spam, fake accounts, misleading claims about Leadly, coupon or deal sites, and running ads on the word “Leadly”.
• We may hold, cancel or take back rewards connected to fraud, abuse or breaking these rules, and we may change or end the program for future referrals at any time.

7. Results

We work hard to bring you good leads, but advertising results vary with your trade, area, season, budget, pricing and how quickly you respond. We don’t guarantee a specific number of leads, jobs or revenue. Any estimates we show are estimates, not promises.

8. Leads

Leads generated for you are yours. You agree to contact leads only about the service they asked for, to follow applicable laws (including calling and texting laws) when you contact them, and to not resell lead information. If a lead is clearly fake or spam, report it in the app and we’ll review it.

9. Your content

You confirm that you own or have permission to use the photos, logos and information you give us, and that your business is licensed as required. You give us permission to use that content in your ads and to run your ads. We may decline or change ad content that is misleading, unlawful or breaks advertising platform rules.

10. Text messages

By giving us your mobile number and agreeing, you consent to receive account and lead notification texts from Leadly. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Consent is not a condition of purchase, but without texts you’ll only get leads in the app and by email.

11. Acceptable use

Don’t use Leadly for anything illegal, misleading or harmful, and don’t try to break, copy or misuse the service. We may suspend accounts that do.

12. Disclaimers and limit of liability

Leadly is provided “as is.” To the fullest extent allowed by law, Leadly is not liable for indirect or consequential losses, lost profits or lost jobs. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim.

13. Changes to these terms

We may update these terms. If we make important changes, we’ll let you know before they take effect. Continuing to use Leadly means you accept the updated terms.

These terms are governed by the laws of the State of California.
